Norwegian Telenor Group acquires Swedish Bahngof controlling stakes valued in the billions

Telenor Group, a Norwegian telecommunication and technology company, has agreed to acquire a controlling stake in Swedish broadband provider Bahnhof in a deal valuing the company at SEK 6.1 trillion (US$ 640 billion) on an enterprise value basis. The transaction, which is subject to regulatory approvals, will make Telenor Sweden’s second-largest fixed broadband provider. After completing the acquisition, Telenor will launch a mandatory cash offer to Bahnhof’s remaining shareholders. 

Telenor will acquire the holdings of Bahnhof founders Jon Karlung and Andreas Norman, who together control 50.8 percent of shares and 86 percent of votes, for SEK 60 (US$ 6.20)  per share. Telenor will also buy Öresund Investment’s 6.7 percent stake for SEK 62 (US$ 6.39) per share and Bahnhof reported last-twelve-month revenue of SEK 2.3 trillion (US$ 237 billion), EBITDA of SEK 0.36 trillion (US$ 37 billion) and free cash flow of SEK 0.24 trillion (US$ 24.8 billion) in Q1 2026 as detailed in a press release

The acquisition is expected to close within four to eight months, subject to regulatory approvals. Following completion, Bahnhof will continue operating under its own brand. Telenor claims that the acquisition would increase its consumer broadband market share in Sweden from about 15 percent to about 27 percent.
