Foresight Autonomous Holdings (Foresight), a technology company developing advanced 3D perception systems and cellular-based applications, has signed a non-binding term sheet to acquire a 50.01 percent controlling stake in a company developing two data center projects in Poland, with a combined planned power capacity of  270 MW.

The press release did not identify by name the company that is targeted for acquisition, and referred to only as “The Data Centers Company”. This company is expected to hold a 66.67 percent interest in each project, located in Warsaw and Wroclaw. The remaining stakes will be held by Polish development partners.

The Warsaw project, located in Ożarów, comprises approximately 3.2 hectares of secured land, with a further 2.2 hectares available under an option, and is planned to have a total capacity of 130 MW. An application for grid connection has been submitted, with final approval currently expected by the end of 2027. The Wrocław project covers approximately 10 hectares and is planned to deliver a capacity of 140 MW, with the feasibility study already completed and land negotiations currently ongoing.

“As we previously announced, Foresight has been evaluating opportunities to expand into new technology markets and identify additional areas for growth beyond our existing activities, including data centers,” said, Haim Siboni, CEO, Foresight. “The proposed transaction is a natural extension of this strategy, providing Foresight with an opportunity to establish a controlling interest in a platform advancing two data center projects in Poland. At the same time, we continue to advance our proprietary technologies and expand their applications, including our recently announced development of full autonomous driving solutions for Unmanned Ground and Aerial Vehicles.”

The acquisition price will be based on an independent valuation by a mutually agreed firm. The purchase consideration will be financed entirely through a seller loan. Foresight also expects to contribute approximately US$ 1 million at closing toward its share of the target company’s outstanding shareholder loans. It has also committed to providing US$ 2.5 million in additional shareholder loans to support the projects.

To finance these commitments, the target company’s existing shareholders, or parties acting on their behalf, would provide Foresight with a convertible loan facility of up to US$ 3.5 million. The facility would be subject to an agreed budget, business plan and project milestones, with detailed terms to be set out in a separate agreement.

The proposed acquisition remains subject to due diligence, an independent valuation, definitive agreements and the necessary corporate, regulatory, stock exchange, governmental, financing and third-party approvals.

According to research by Mordor Intelligence, the Poland data center market size is expected to increase from 660 MW in 2025, to 702.52 MW in 2026, and eventually reach 998.34 MW by 2031, growing at a 7.28 percent compound annual growth rate (CAGR) between 2026 and 2031.
